1. ACCEPTANCE OF TERMS

By accessing or using StoreStacks services ("Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, do not use our Service.

2. DESCRIPTION OF SERVICE

StoreStacks provides e-commerce consulting, store development, marketing services, and coaching to help clients build and scale Shopify-based businesses. Our services include but are not limited to:

  • Custom Shopify store development and design

  • Product research and validation

  • Marketing campaign creation and management

  • Backend systems setup and automation

  • One-on-one coaching and consultation

  • Creative asset development

  • Email marketing setup and flows

3. ELIGIBILITY AND ACCOUNT REQUIREMENTS

3.1 Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts in your jurisdiction to use our Service.

3.2 Application Process

Access to our services requires completion of an application process. We reserve the right to accept or decline applications at our sole discretion.

3.3 Account Accuracy

You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

4. SERVICE TERMS AND PHASES

4.1 Three-Phase System

Our service is delivered through a structured three-phase system:

Phase 1: Building Your Brand & Infrastructure

  • Duration and deliverables as outlined in your service agreement

  • Custom Shopify store development

  • Backend systems integration

  • Product validation and supplier sourcing

Phase 2: Launching Creatives & Paid Campaigns

  • Creative asset development

  • Ad account setup and structure

  • Campaign preparation and strategy

Phase 3: Optimizing, Scaling & Coaching

  • Live campaign management

  • Performance optimization

  • Ongoing coaching and support

4.2 Service Timeline

Program duration will be as specified in your individual service agreement. Timelines may be adjusted based on client responsiveness and external factors beyond our control.

5. CLIENT RESPONSIBILITIES

5.1 Cooperation and Communication

You agree to:

  • Respond promptly to requests for information, feedback, and approvals

  • Participate actively in scheduled calls and check-ins

  • Provide necessary access to platforms, accounts, and systems

  • Follow recommended action items and strategies

5.2 Platform Compliance

You are responsible for ensuring your business operates in compliance with:

  • Shopify's Terms of Service and Acceptable Use Policy

  • Advertising platform policies (Meta, TikTok, Google, etc.)

  • All applicable laws and regulations in your jurisdiction

  • Payment processor requirements

5.3 Business Operations

You remain responsible for:

  • Customer service and support

  • Order fulfillment and shipping

  • Product quality and safety

  • Legal compliance and business registration

  • Tax obligations and reporting

6. PAYMENT TERMS

6.1 Fees and Payment

Service fees are as specified in your individual service agreement. Payment schedules and methods will be outlined in your agreement.

6.2 Refunds

Refund policies are governed by our Revenue Guarantee (Section 7) and any specific terms in your service agreement.

6.3 Late Payments

Late payments may result in service suspension and additional fees as outlined in your service agreement.

7. REVENUE GUARANTEE

7.1 Guarantee Terms

We guarantee that clients following our complete system will generate at least $11,000 in revenue within the agreed timeframe, subject to the following conditions:

To be eligible for our guarantee, you must:

  • Complete all phases of the program

  • Implement all recommended strategies and action items

  • Maintain active participation in coaching calls and communications

  • Follow platform compliance guidelines

  • Provide requested access and information promptly

  • Allocate agreed-upon advertising budget

7.3 Guarantee Claim Process

Guarantee claims must be submitted in writing within 30 days of program completion with supporting documentation of revenue and compliance with program requirements.

7.4 Guarantee Remedy

If guarantee conditions are met but revenue targets are not achieved, we will provide a full refund plus $1,000 and continue working with you until the revenue target is reached.

8. INTELLECTUAL PROPERTY

8.1 Our Intellectual Property

All methodologies, systems, templates, training materials, and proprietary processes remain the intellectual property of StoreStacks. Clients receive a limited license to use these materials solely for their own business operations.

8.2 Client Intellectual Property

You retain ownership of your brand, products, and business-specific content. You grant us a limited license to use your brand elements and case study information for marketing purposes.

8.3 Confidentiality

Both parties agree to maintain confidentiality of proprietary information and trade secrets shared during the engagement.

9. DISCLAIMERS AND LIMITATIONS

9.1 Results Disclaimer

While we provide our Revenue Guarantee under specific conditions, individual results may vary. Success depends on multiple factors including market conditions, client effort, compliance, and external circumstances beyond our control.

9.2 Platform Dependency

Our services rely on third-party platforms (Shopify, Meta, TikTok, etc.). We are not responsible for platform changes, policy updates, account suspensions, or technical issues beyond our control.

9.3 No Guarantees Beyond Revenue Guarantee

Except for our specific Revenue Guarantee, we make no warranties or guarantees regarding business success, profitability, or specific outcomes.

10. LIMITATION OF LIABILITY

10.1 Liability Cap

Our total liability for any claims related to our services shall not exceed the total fees paid by you for our services.

10.2 Excluded Damages

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, data, or business opportunities.

10.3 Third-Party Issues

We are not responsible for actions, policies, or technical issues of third-party platforms, suppliers, or service providers.

11. TERMINATION

11.1 Termination by Client

You may terminate services according to the terms specified in your service agreement. Refunds, if any, will be processed according to our guarantee terms and service agreement.

11.2 Termination by StoreStacks

We may terminate services if you:

  • Breach these Terms or your service agreement

  • Fail to make required payments

  • Engage in illegal or unethical business practices

  • Violate platform policies

  • Are unresponsive or non-cooperative

11.3 Effect of Termination

Upon termination, access to proprietary materials and ongoing support will cease. Completed deliverables remain with the client.

12. INDEMNIFICATION

You agree to indemnify and hold StoreStacks harmless from any claims, damages, or expenses arising from:

  • Your use of our services

  • Your business operations

  • Violation of these Terms

  • Violation of third-party rights or applicable laws

  • Content or products you sell or promote

13. GENERAL PROVISIONS

13.1 Governing Law

These Terms are governed by [YOUR JURISDICTION] law without regard to conflict of law principles.

13.2 Dispute Resolution
